1. Internal rules and law

Neúmen institutional rules operate within, and do not replace, mandatory legislation, court orders, corporate records, contracts or other legally controlling instruments.

2. Jurisdiction

The applicable legal framework may depend on the responsible entity, the activity, the location of the parties, the nature of the record and other legally relevant circumstances.

3. Non-waivable rights

No internal rule should be interpreted as removing a right or protection that cannot lawfully be waived.

4. Conflicts

If an institutional rule conflicts with mandatory law, the mandatory law prevails to the extent of the conflict while the remaining institutional rule should continue where reasonably possible.

5. Legal interpretation

Institutional descriptions, registry relationships and conceptual diagrams should not be treated as substitutes for formal legal advice or legally operative corporate documentation.
